Terms and Conditions of Sale
KL Cleaning & Home Services

1. General Provisions
1.1 These Terms and Conditions (“Agreement”) govern all sales, services, and contracts between KL Cleaning & Home Services (“KLCHS”, “we”, “us”, or “our”) and its clients (“Client”, “you”, or “your”).
1.2 By engaging KLCHS for any services or by making payment, the Client agrees to be legally bound by this Agreement.
1.3 These terms supersede any and all other terms and conditions provided by the Client, whether attached to purchase orders, invoices, or other documentation, unless explicitly agreed to in writing by KLCHS.
1.4 KLCHS reserves the right to update or modify these Terms and Conditions at any time, with notice posted on our website. Continued use of our services following any such changes constitutes your acceptance.
2. Services
2.1 KLCHS agrees to provide cleaning and related services as described in quotes or service agreements, with reasonable skill and care in accordance with industry standards and applicable laws in the Province of Alberta.
2.2 While KLCHS endeavors to perform services in a timely and professional manner, no representation or warranty is made regarding the outcome of the services. Services are provided on a “best-efforts” basis and shall not constitute an obligation of result.
2.3 KLCHS reserves the right to subcontract any portion of the services to qualified third parties, at its discretion, without notice to the Client.
3. Quotations and Orders
3.1 All quotes provided by KLCHS are valid for 30 calendar days from the date of issue unless otherwise specified.
3.2 An order is considered accepted once confirmed by KLCHS in writing or upon commencement of services.
3.3 KLCHS reserves the right to refuse or cancel any order at its sole discretion and without liability.
4. Prices and Payment Terms
4.1 All prices are in Canadian Dollars (CAD) and are subject to applicable taxes under federal and Alberta law (e.g., GST).
4.2 Payment is due within 21 business days of the invoice date unless otherwise specified in writing.
4.3 In case of late payment, KLCHS reserves the right to apply:
- 10% interest on the outstanding amount, accruing monthly, compounded annually;
- An administrative fee of $50 per overdue invoice.
4.4 KLCHS may suspend or terminate service immediately if payment is not received by the due date.
4.5 If any invoice remains unpaid more than 60 days after the due date, KLCHS may engage a licensed debt recovery agency or initiate legal proceedings. All legal and collection costs, including solicitor fees on a solicitor-and-own-client basis, shall be borne by the Client.
5. Taxes and Withholding
5.1 Clients located outside Canada are responsible for compliance with their own tax laws, including any withholding taxes imposed by local jurisdictions.
5.2 KLCHS must receive the full invoice amount. No deductions for withholding or transfer fees shall apply unless required by Canadian law and explicitly agreed in writing.
6. Cancellation & Rescheduling
6.1 To avoid cancellation charges, the Client must provide a minimum of 24 hours’ notice for rescheduling or cancellation of a scheduled service.
6.2 Cancellations made with less than 24 hours’ notice may incur a fee of 50% of the scheduled service cost.
6.3 In case of repeated cancellations or no-shows, KLCHS reserves the right to terminate the service agreement.
7. Client Obligations
7.1 The Client must provide access to the premises, including entry codes or keys, and ensure a safe working environment free of hazardous conditions.
7.2 The Client shall inform KLCHS in advance of any pets, valuable items, alarms, or security systems that may affect service delivery.
7.3 The Client is responsible for securing or removing any fragile or high-value items. KLCHS shall not be held liable for damage to unsecured valuables.
8. Liability and Limitations
8.1 KLCHS carries commercial liability insurance in accordance with Alberta law. However, our liability for any claim, whether in contract, tort, or otherwise, shall be limited to the amount paid by the Client for the specific service giving rise to the claim.
8.2 Under no circumstances shall KLCHS be liable for:
- Indirect, incidental, or consequential damages;
- Loss of income, revenue, or profits;
- Damages caused by third parties or force majeure events (e.g., floods, pandemics, utility outages).
8.3 Any claim by the Client must be submitted in writing by registered mail to KLCHS’s registered office within 8 calendar days of the service date. Claims made after this period may be deemed waived.
9. Insurance and Damage Claims
9.1 In the event of property damage caused by our staff during the provision of services, the Client must notify KLCHS within 48 hours of discovering the damage, including photo evidence.
9.2 Damage will be assessed by KLCHS and, if deemed valid, will be resolved through repair, replacement, or reimbursement, at KLCHS’s discretion.
9.3 Damage to or loss of valuables not disclosed or not secured prior to service will not be compensated.
10. Termination
10.1 Either party may terminate the service agreement with 7 days’ written notice, unless otherwise specified in a written contract.
10.2 KLCHS may terminate the agreement without notice in the event of:
- Repeated missed payments;
- Abuse, threats, or unsafe working conditions;
- Breach of these Terms and Conditions.
11. Governing Law and Jurisdiction
11.1 These Terms and Conditions are governed by the laws of the Province of Alberta and the laws of Canada applicable therein.
11.2 Any disputes shall be resolved exclusively in the courts of Edmonton, Alberta, and the Client submits irrevocably to the jurisdiction of such courts.
12. Severability
If any provision of these Terms and Conditions is found to be unenforceable or invalid under applicable law, such provision shall be deemed severed and the remaining provisions shall remain in full force and effect.
13. Entire Agreement
These Terms and Conditions, along with any written quotations, service agreements, or addenda issued by KLCHS, constitute the entire agreement between the parties and supersede all prior oral or written communications.
